These Terms and Conditions (“Terms”) apply to all quotes, proposals and agreements issued by Mersey SEO and govern your use of the Mersey SEO website (merseyseo.co.uk) and the services provided by Mersey SEO (“we”, “us”, “our”, “Company”), including SEO, PPC and Web Design services.

By accessing our website, accepting a quote/proposal, or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

We are an SEO agency based in Liverpool, providing search engine optimisation services across Merseyside and surrounding areas including Wirral, Chester, Skelmersdale, Widnes, Southport and Warringto

3. Our Services

We provide SEO and digital marketing services primarily to small and medium-sized businesses, including but not limited to:

  • Search engine optimisation (SEO)
  • Pay-per-click (PPC) management
  • Web design and website development
  • Website analysis and reporting
  • Google Analytics and Google Search Console data analysis
  • Local search optimisation
  • Digital marketing consultancy

4. Service Agreement

We do not use long-term contracts. Our services are provided on a rolling month-to-month arrangement unless otherwise agreed in writing. Either party may cancel services with 30 days’ written notice.

5. Payment Terms

  • SEO campaigns are charged one month upfront and then monthly in advance
  • Payment methods: Direct Debit (GoCardless) and Bank Transfer
  • Invoices not paid within 28 days of the due date will incur a 10% late payment fee
  • We reserve the right to suspend services or stop work for non-payment
  • All prices are quoted exclusive of VAT unless stated otherwise

6. Refunds and Cancellations

  • You may cancel services at any time with 30 days’ written notice
  • You have a 14-day cooling-off period from the start of services during which you may cancel for a full refund
  • Outside the cooling-off period, fees for SEO work already performed are non-refundable

7. Website Usage

7.1 Acceptable Use

You may use our website for lawful purposes only. You must not:

  • Use the website in any way that violates applicable laws or regulations
  • Transmit any harmful, offensive, or inappropriate content
  • Attempt to gain unauthorised access to our systems
  • Interfere with the website’s functionality

7.2 Intellectual Property

All content on our website, including text, graphics, logos, and software, is owned by Mersey SEO or our licensors and is protected by copyright and other intellectual property laws.

8. Data and Reporting

We provide accurate reporting using data from Google Analytics, Google Search Console, and other authorised sources. While we strive for accuracy, we cannot guarantee the completeness or accuracy of third-party data sources.

9. Limitation of Liability

While achieving results is our goal, search engine rankings and specific outcomes cannot be guaranteed. SEO, PPC and Web Design performance depends on many factors outside our control, including search engine algorithm changes, competitor activity and your website/content.

To the maximum extent permitted by law:

  • We exclude all warranties and conditions relating to our website and services
  • Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
  • We shall not be liable for any indirect, consequential, or special damages

10. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.

11. Privacy

Your privacy is important to us. Please refer to our Privacy Policy, which forms part of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website and will take effect immediately upon posting. Continued use of our services constitutes acceptance of modified Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mersey SEO regarding the use of our website and services.
